I have long been a fan of incorporating federally rather than provincially whenever it can be done. I ran into a situation today that reinforces my preference for federal corporations and it's one that nay business owner may, at one time or another, face. Specifically, replacing lost or misplaced Articles of Incorporation. Ontario, apparently, is still back in the stone ages in that replacements are only available by ordering (and picking up in person) microfiche of the orig...inal documents then finding a microfiche reader / printer. Industry Canada, on the other hand, makes them available on-line and pretty much in real time for a nominal fee.

Be very cautious about giving out personal information.

We may just be the only company that hasn't raised prices since our founding in 2001, in fact some are even lower than they were then. If you have a private federally incorporated company in Canada you should be aware of new minute book reporting requirements. Bill C-86 amended the Canada Business Corporations Act to make the ownership of private corporation more transparent. As of June 13, 2019 all private federal corporations must have a register that lists the following information for individuals who have "significant control" ie 25% or more of the corporation's voting shares.... Affected private federal corporations must maintain a register that includes the following information for each individual with significant control of such corporation: Name, date of birth and last known address Jurisdiction of tax residence Date the individual became or ceased to be an individual with significant control Description of how the individual meets the significant control threshold These records must be update annually. One of the questions that I'm often asked on the accounting side of things is whether it's better to pay dividends or salary as a way of getting money out of your corporation, here's a simplified illustration of the tax implications. Assuming both you and your corporation reside in Ontario if you were to pay yourself only dividends totaling $50,000 your corporation would pay $7,762 in income taxes (dividends are a distribution of after tax profit) and you (assuming this was y...our sole source of income) would pay an additional $2,767 in taxes for a total of $10,529. If you were to pay yourself the same $50,000 as salary your corporation would pay $0 on it as it is a deductible business expense and you (assuming it was your sole source of income) would pay $8,733. I addition to your tax liability you would contribute $2,301 to CPP and your corporation would match that. You may have observed that you have higher outlays when paying yourself salary but there are some very real advantages to doing so. Advantage # 1 - CPP. As an entrepreneur you have the same pension plan as I do. CPP, OAS, and whatever you're able to save/invest during your working life. CPP may not be as good as winning the cash for life lottery but it will pay you for the duration of your life whereas I have had clients who have outlived their savings. Advantage # 2 - RRSP contribution limits. Dividends are not considered earned income for the purpose of calculating RRSP contribution limits. While Tax Free Savings Accounts offer a very attractive option (and I would recommend that you take advantage of them) the amount that you're able to save/invest annually pales in comparison to RRSP contributions (currently 18% of your previous year's earned income to a maximum of $26,010 for 2017) and RRSP contributions reduce your taxable income whereas TFSA contributions don't.
