When you have in mind to buy a tech company or the tech company’s assets in Mexico, it is important that you conduct a due diligence on the following matters mainly: 1. Corporate documentation; 2. Intellectual property, including: a list of trademarks, patents and commercial denominations registered with the IMPI; a list of technical assistance, services and know-how agreements, either licensed by or to the target; and ... a list of any trade secrets on which the target’s business depend; 3. Contracts, including: licence agreements for the use of patents, trademarks and trade names; licences and ownership documents regarding the relevant technology and IP rights; copies of all standard contracts used by the target; and copies of all confidentiality and invention assignment agreements. 4. Litigation: Information on any IP litigation or other disputes; and information on any third parties infringing on the target’s IP rights. 5. Non-Mexican Investment relevant foreign investment registries Additional steps may be required depending on the nature of the transaction and of the business being acquired.
