On Mar 13, 2020 Bill C-4 on CUSMA (Canada-US-Mexico trade Agreement) received Royal Assent. Trade secret theft and misappropriation are now criminal offences under proposed section 391 of the Criminal Code. https://www.parl.ca/legisinfo/BillDetails.aspx "Trade secret... 391 (1) Everyone commits an offence who, by deceit, falsehood or other fraudulent means, knowingly obtains a trade secret or communicates or makes available a trade secret. Trade secret prior knowledge (2) Everyone commits an offence who knowingly obtains a trade secret or communicates or makes available a trade secret knowing that it was obtained by the commission of an offence under subsection (1). Punishment (3) Everyone who commits an offence referred to in subsection (1) or (2) is guilty (a) of an indictable offence and is liable to imprisonment for a term not exceeding 14 years; or (b) of an offence punishable on summary conviction." A trade secret is defined as: "any information that (a) is not generally known in the trade or business that uses or may use that information; (b) has economic value from not being generally known; and (c) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy." #Tradesecrets are a vital part of your #IP. Key points: C-level executives often don't bother with patents due to the cost of obtaining and enforcement. However by putting themselves in the shoes of a potential acquirer, they could get a different perspective: A good patent portfolio increases the company's attractiveness and value as an acquisition target or as a partner. The added value is likely to be many multiples of the cost of obtaining and managing the portfolio. Examples: 1) Acquisition of LiveQoS by Adaptiv in December 2019 2) Acquisition of Mindmeld by Cisco in 2017 Additionally, increased attractiveness as an acquisition target makes it easier to entice investors and large companies with deep pockets, especially in patent-litigious fields. Therefore, putting yourself in someone else's shoes with regards to patents could benefit you greatly!

Key points: 1) IP flight risk, i.e. the risk of losing valuable IP, increases if IP is not properly identified and ownership not secured. 2) Proactively including relevant/useful IP clauses into employment agreements greatly reduces IP flight risk. 3) Using appropriate clauses in employment agreements puts onus on employee to disclose inventions and/or participate in IP discovery/mining to uncover new inventions. 4) Employer ownership of inventions should be secured via express language clauses in employment agreement. If patents are sought, employees should be required to execute assignment document(s) to further strengthen employer ownership, enforcement and prosecution rights. 5) For copyrights, appropriate clauses should be included in employment agreements so that employees assign all copyrights to employers, and waive moral rights. Furthermore, there should be clauses to permit the employer to register and enforce copyrights.
